1. Introduction

Welcome to EXPANEL, a desktop application designed for regulatory compliance and transaction reporting. By installing, copying, or otherwise using EXPANEL, you agree to be bound by the terms of these Terms of Use ("Terms"). If you do not agree to the Terms, do not use this application.

2. License Grant

EXPANEL grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the application strictly in accordance with the terms of this Agreement.

3. Restrictions

You agree not to, and will not permit others to:

1. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the application or make the platform available to any third party.

2. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the application.

3. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of EXPANEL or its affiliates, partners, suppliers, or the licensors of the application.

4. Software Updates

The application may from time to time download and install updates, which are designed to improve, enhance, and further develop the application and may take the form of bug fixes, enhanced functions, new software modules, and completely new versions.

5. Disclaimer of Warranty

EXPANEL and its suppliers provide the application 'as is' and with all faults, and hereby disclaim all warranties and conditions, whether express, implied, or statutory, including but not limited to any implied warranties or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, and of non-infringement of third-party rights.

6. Limitation of Liability

In no event shall EXPANEL or its suppliers be liable for any consequential, incidental, indirect, special, punitive, or other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of this Agreement or the use of or inability to use the application, even if EXPANEL has been advised of the possibility of such damages.

7. Termination

This Agreement shall remain in effect until terminated by you or EXPANEL. EXPANEL may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

8. Amendments to this Agreement

EXPANEL reserves the right, at its sole discretion, to modify or replace this Agreement at any time. What constitutes a material change will be determined at our sole discretion.
